These Terms of Service ("Terms") constitute a legally binding agreement between you and Zindagi Technologies Private Limited (CIN: U72900HR2020PTC086235), a company incorporated under the laws of India with its registered office at 301, 3rd Floor, Bakshi House, Nehru Place, New Delhi - 110019 ("Company", "we", "us", or "our").

1. Acceptance of Terms

By accessing or using the Critical Range platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to update these Terms at any time, and your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

2. Platform Access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal cybersecurity training, assessment, and education purposes.

Access is provided on a subscription basis as described in your service agreement. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice.

For on-premises deployments, you are responsible for providing and maintaining the infrastructure required to run the Platform in accordance with the specifications provided by us.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised access or use of your account.

Each user account is for a single individual. You may not share account credentials or allow multiple individuals to use a single account. Tenant administrators are responsible for managing user access within their organisation.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 consecutive months.

4. Acceptable Use

You agree to use the Platform only for lawful cybersecurity training and assessment purposes. You may not use the Platform to: (a) conduct attacks against systems outside the Platform environment; (b) attempt to access other tenants' data or resources; (c) reverse engineer, decompile, or disassemble the Platform; (d) use the Platform to develop competing products or services.

All offensive security techniques practised on the Platform must be confined to the isolated exercise environments provided. Any attempt to escape the exercise sandbox, access host systems, or pivot to external networks is strictly prohibited and may result in immediate termination.

You are responsible for ensuring that all users within your organisation comply with these acceptable use requirements.

5. Intellectual Property

The Platform, including all software, content, exercises, documentation, trade marks, and other intellectual property, is owned by Zindagi Technologies Private Limited or its licensors. These Terms do not transfer any ownership rights to you.

Exercises, scenarios, and training content created by you using the Platform tools remain your intellectual property. However, you grant us a non-exclusive licence to host and deliver such content within the Platform for the purpose of providing the service.

Feedback, suggestions, and improvement ideas that you provide to us may be used by us without obligation to compensate you.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Zindagi Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform.

Our total aggregate liability for any claims arising out of or related to these Terms or the Platform shall not exceed the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

The Platform is provided for training and educational purposes. We make no warranties regarding the effectiveness of training in preventing actual security incidents.

7. Indemnification

You agree to indemnify, defend, and hold harmless Zindagi Technologies Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you create or upload to the Platform.

8. Termination

Either party may terminate the service agreement in accordance with the terms specified therein. Upon termination, your right to access the Platform will cease immediately.

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, particularly the Acceptable Use provisions. We will provide notice of such action except where immediate action is necessary to protect the Platform or other users.

Upon termination, we will provide a data export of your organisation's data in standard formats upon request, subject to a 30-day retrieval window. After this period, data will be securely deleted.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. If negotiation fails, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with New Delhi as the seat of arbitration.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated at least thirty (30) days in advance via email to the primary contact on your account or through a prominent notice on the Platform.

Your continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree with the modified Terms, you may terminate your account before the changes take effect.
